Isatis Capital announces a majority buyout of the 3R Industries Group

The founding Rémy family transfers control of the 3R Industries Group. As the majority investor in the transaction, Isatis Capital aims to continue the development of the Group, alongside Bpifrance and a pool of managers led by Benjamin Bovo and Julien Manchon.

A leader in the design and distribution of material testing machines

Founded in 1976, the 3R Group is a leading equipment manufacturer in the design, manufacturing, and distribution of computerized material testing machines for major players in industries such as aerospace, civil engineering, materials science, energy, and more.

"Origine France Garantie" Label since 2012

Based in Montauban, the Group has a design office that fully designs the machines, which are assembled on-site. Over the years, the Group has also developed a significant distribution and services division to assist its clients closely with their needs and ensure a high level of satisfaction. This division provides assembly, installation, and maintenance services for its machinery fleet. 3R equipment has been awarded the "Origine France Garantie" label since 2012.

Major clients in France and internationally

Employing nearly 90 employees and generating a turnover of over €20 million, 3R is present with major clients who require high levels of certification, both in France and internationally.

Relutive transmission operation

This transmission operation is based on a highly value-enhancing structuring of a pool of managers, who have been with the company for many years. The new management will be led by Benjamin Bovo and Julien Manchon, respectively Chief Executive Officer and Chief Financial Officer.

Preservation of industrial expertise and strengthening of human capital

This transaction aligns with the core objectives of Isatis Capital’s strategy, similar to its ongoing fund Isatis Flex Transmission 1: preserving industrial and technological know-how, strengthening the company's human capital, and significantly empowering key managers.

With the support of the teams at Isatis and Bpifrance, our managers, who have now become shareholders, are well-equipped to capture market share and continue the company’s development.

"We are very pleased to welcome Isatis Capital and Bpifrance to the capital of our family group. Our shared entrepreneurial values are the foundation of our partnership, following a process led by the SG M&A team, who structured the transmission deal, and we thank them for their advice and the tailored support we received during this crucial step. With the support of the teams at Isatis and Bpifrance, our managers, who have now become shareholders, are well-equipped to capture market share and continue the company's development," explain Diana and Jean-Baptiste Rémy, the leaders and representatives of the historical shareholders of the Group.

Well positioned in its niche markets, the Group has managed to become indispensable to major industrial contractors.
